Nemetschek Group announced on 13 April 2026 an agreement to acquire Heavy Construction Systems Specialists (HCSS), a Sugar Land, Texas-based provider of construction management software for infrastructure and heavy civil contractors, from private equity firm Thoma Bravo.

HCSS was founded in 1986, has more than 550 employees and serves more than 4,000 companies ranging from small firms to large general contractors.

Under the structure, Thoma Bravo receives shares in Nemetschek's Build & Construct segment: Nemetschek SE will hold about 72% of the segment and Thoma Bravo about 28% as a minority shareholder, with the segment remaining fully consolidated. Nemetschek will refinance HCSS's existing debt, which it said affects group net debt by about EUR 450 million.

The transaction was expected to close in the second half of 2026. Nemetschek's half-year report later said its outlook had been expanded to reflect the consolidation of HCSS as of 1 July 2026.

We welcome Thoma Bravo as a partner and minority shareholder in the Build & Construct segment.
